These Terms and Conditions ("Terms") govern your purchase and use of the Soul Theory software. By purchasing, downloading, or activating the software, you agree to be bound by these Terms, issued by Soul Theory (ABN: 62 821 788 930).

1. Licensing and Usage Rights

Upon successful payment, Soul Theory grants you a non-exclusive, non-transferable, revocable license to use the software.

Commercial Use: You are fully permitted to use the music, visuals, and multimedia outputs generated by the software for both personal and commercial projects.
Node-Locked Restriction: The software license is "node-locked" and grants installation and activation on one (1) physical machine only.
Prohibited Actions: You may not redistribute, resell, reverse-engineer, decompile, or share the core software executable, your unique license key, or proprietary bundled audio files (e.g., included SoundFonts).
Permitted Sharing (FX Packs): You are expressly permitted and encouraged to export, share, and distribute custom visual configurations (contained within .fxpack files) with other users. You may include custom textures, fonts, and atlas images within these packs as permitted by the software’s export tools, provided they are shared strictly for use within the Soul Theory ecosystem.

2. Hardware Fingerprinting & Anti-Circumvention

Our software utilizes Keygen.sh to generate a hardware fingerprint binding your license to your machine. You agree that the software will periodically communicate with our licensing servers to verify authorization. Any attempt to spoof hardware metrics, block the licensing server communications, or bypass the activation dialog constitutes a material breach of these Terms and will result in the immediate and permanent revocation of your license without refund.

3. Intellectual Property

All code, graphics, UI designs, and bundled assets (the "Software") are the exclusive intellectual property of Soul Theory. Purchasing a license key does not transfer ownership of the Software to you; it only grants you the right to use it as outlined in Section 1.

4. Limitation of Liability and "As-Is" Disclaimer

The software is provided "AS-IS" and "AS-AVAILABLE", without warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability or fitness for a particular purpose.
Soul Theory operates alongside deep system resources, including audio drivers and OS clocks. In no event shall Soul Theory, its owner, or affiliates be liable for any indirect, incidental, special, or consequential damages (including but not limited to data loss, hardware damage, or loss of profits) arising out of the use or inability to use the software.
In any jurisdiction where liability cannot be entirely excluded, Soul Theory’s total cumulative liability to you shall not exceed the amount you paid for the software license.

5. Modifications to the Software

We reserve the right to update, modify, or discontinue features of the software at any time. We are not obligated to provide indefinite updates or ensure compatibility with future operating system versions.

6. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions. Any legal action or dispute relating to these Terms or your use of the software shall be brought exclusively in the state or federal courts located in Queensland, Australia, and you hereby consent to personal jurisdiction in such courts.
